VENDOR TERMS & CONDITIONS

These Vendor Terms & Conditions (“Agreement”) govern the relationship between My E-Book Shop, operated by Online Business Services (Registration Number: 2023/148655/07), and any individual or entity (“Vendor”, “Seller”, or “You”) offering digital products for sale on the My E-Book Shop marketplace.

By registering as a vendor or listing digital products on My E-Book Shop, you confirm that you have read, understood, and agreed to be bound by these Vendor Terms & Conditions, together with our Privacy Policy, Terms & Conditions, Refund Policy, Disclaimer, and Cookie Policy.

1. Platform Overview

My E-Book Shop is an online digital marketplace that allows approved vendors to sell digital-only products, including but not limited to:

• E-books
• Digital publications
• Educational materials
• Downloadable learning resources

No physical products may be sold on this platform.

2. Vendor Eligibility & Registration

To become a vendor, you must:

• Be at least 18 years of age
• Provide accurate, complete, and up-to-date registration information
• Have the legal right and authority to sell the digital content you upload
• Comply with all applicable laws and regulations in your country of residence

My E-Book Shop reserves the right to approve, reject, suspend, or terminate vendor accounts at its sole discretion.

3. Vendor Responsibilities

As a vendor, you agree to:

• Upload only original content or content you have legal rights to distribute
• Ensure all product descriptions are truthful, accurate, and not misleading
• Ensure your content does not infringe on copyrights, trademarks, or third-party rights
• Provide high-quality, functional digital files free from malware or harmful code
• Respond professionally to customer inquiries related to your products

4. Intellectual Property & Content Ownership

• Vendors retain ownership of their intellectual property.
• By listing content on My E-Book Shop, you grant us a non-exclusive, worldwide, royalty-free license to host, display, promote, distribute, and sell your digital products through the platform.
• Vendors are solely responsible for ensuring they hold all necessary rights to the content they upload.

My E-Book Shop does not claim ownership of vendor content.

5. Prohibited Content

Vendors may NOT upload or sell content that:

• Violates copyright or intellectual property laws
• Contains hate speech, harassment, or discriminatory material
• Contains explicit sexual content involving minors
• Promotes illegal activities or fraud
• Includes malware, spyware, or harmful code
• Is misleading, deceptive, or falsely advertised

Violation of this section may result in immediate account termination.

6. Digital Delivery & No Physical Shipping

All vendor products must be digitally deliverable.

• No physical shipping is allowed
• Vendors must ensure digital files are accessible and downloadable
• Delivery occurs electronically after successful payment

7. Pricing & Product Listings

• Vendors are responsible for setting their own prices, subject to platform guidelines.
• Prices must be displayed clearly and accurately.
• My E-Book Shop reserves the right to adjust, discount, or remove products that violate pricing or listing standards.

8. Fees & Commission

• My E-Book Shop may charge a platform commission or service fee on each sale.
• Commission rates, payout structures, and payment schedules will be communicated separately or displayed in the vendor dashboard.
• Fees are deducted before vendor payouts unless otherwise stated.

9. Payments & Payouts

• Vendor earnings are paid via approved payment methods only.
• Vendors are responsible for providing accurate payout information.
• My E-Book Shop is not responsible for delays caused by incorrect payment details or third-party payment processors.
• Vendors are responsible for all taxes related to their earnings.

10. Refunds, Chargebacks & Disputes

• All refunds are handled in accordance with the platform’s Refund Policy.
• Vendors may be required to cooperate in refund or dispute investigations.
• Excessive refunds or chargebacks may result in account suspension or termination.

11. Marketing & Promotion

By listing products on My E-Book Shop, vendors agree that:

• Products may be promoted on the website, social media, email campaigns, or advertising platforms
• Promotional use does not entitle vendors to additional compensation beyond agreed earnings

12. Account Suspension & Termination

My E-Book Shop reserves the right to suspend or terminate vendor accounts if:

• These Vendor Terms are violated
• Fraudulent or unlawful activity is suspected
• Vendor content harms the platform’s reputation
• Legal or regulatory issues arise

Termination may result in removal of all vendor products from the platform.

13. Limitation of Liability

My E-Book Shop acts solely as a platform provider and is not the creator or owner of vendor content.

To the maximum extent permitted by law:

• We are not liable for vendor-generated content
• We are not responsible for loss of income, data, or profits
• Vendors indemnify My E-Book Shop against claims arising from their content or conduct

14. Indemnification

Vendors agree to indemnify and hold harmless My E-Book Shop, Online Business Services, its directors, employees, and partners from any claims, damages, liabilities, costs, or legal fees arising from:

• Copyright infringement
• Breach of these Vendor Terms
• Misrepresentation or unlawful conduct

15. Confidentiality

Vendors agree to keep all non-public platform information confidential, including:

• Sales data
• Pricing structures
• Platform features
• Customer information

16. Changes to Vendor Terms

My E-Book Shop reserves the right to update or modify these Vendor Terms & Conditions at any time. Vendors will be notified of material changes, and continued use of the platform constitutes acceptance of the updated terms.

17. Governing Law & Jurisdiction

These Vendor Terms & Conditions are governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any disputes arising from these terms shall be subject to the exclusive jurisdiction of South African courts.
