Payment & Commission Agreement

E-Book Shop Marketplace

This Payment & Commission Agreement (“Agreement”) governs payments, commissions, and payouts between E-Book Shop and vendors selling digital products through the E-Book Shop Marketplace.

By registering as a vendor, you agree to the terms set out below.

1. Commission Structure

E-Book Shop charges a commission on each completed sale made through the marketplace.

Commission rate: 30%]
Commission is calculated on the gross sale price, unless otherwise stated
Commission includes platform services, hosting, processing, and marketplace exposure

E-Book Shop reserves the right to update commission rates with prior notice.

2. Payment Processing

All customer payments are processed through E-Book Shop’s designated payment service providers.

Vendors may not:

Collect payments outside the platform
Direct customers to external payment channels
Bypass platform payment systems

3. Vendor Earnings

Vendor earnings equal:
Sale Price – Platform Commission – Applicable Taxes – Refunds/Chargebacks

Earnings are recorded in the vendor dashboard for transparency.

4. Payout Schedule

Payouts are made:

On request basis
Subject to a minimum payout threshold of R200

E-Book Shop may hold payouts during dispute resolution, verification, or fraud review.

5. Refunds, Chargebacks & Deductions

Vendors acknowledge that:

Approved refunds reduce vendor earnings
Chargebacks, penalties, or processing fees may be deducted
Negative balances may be carried forward or recovered from future payouts

6. Taxes & Compliance

Vendors are responsible for:

Declaring and paying their own income tax
VAT registration where applicable
Compliance with SARS requirements

E-Book Shop does not provide tax advice.

7. Withholding & Reserve Rights

E-Book Shop reserves the right to:

Withhold payouts where required by law
Maintain a rolling reserve to cover refunds or disputes
Delay payments during investigations or compliance checks

8. Payment Errors

Vendors must notify E-Book Shop of payment discrepancies within 14 days.
Failure to report errors may result in forfeiture of claims.

9. No Employment or Partnership

This Agreement does not create an employment, partnership, or agency relationship between E-Book Shop and any vendor.

10. Termination & Final Settlement

Upon termination:

Outstanding balances may be held for dispute resolution
Refund liabilities survive termination
Final payouts will be processed after all obligations are settled

11. Limitation of Liability

To the maximum extent permitted by law, E-Book Shop is not liable for:

Indirect or consequential losses
Payment delays caused by third-party providers
Vendor business losses

12. Governing Law

This Agreement is governed by the laws of the Republic of South Africa.

13. Amendments

E-Book Shop may amend this Agreement from time to time. Continued use of the marketplace constitutes acceptance of updated terms.
