Vendor Terms / Seller Agreement

1. Agreement Overview

This Seller Agreement governs your access to and use of the Platform to list and sell digital products (including e-books). By creating a vendor account, uploading content, or selling on the Platform, you agree to these terms.

2. Eligibility and Vendor Account

You confirm that:

• You are legally able to enter into a binding agreement.
• All information you provide is accurate and up to date.
• You will complete required verification (KYC) before payouts are enabled.

We may approve, reject, suspend, or terminate vendor accounts at our discretion where necessary for compliance, risk, or policy reasons.

3. Seller Verification (KYC) and Compliance

To protect customers and meet compliance requirements, we may collect and verify vendor information, including identity, contact details, proof of address, and payout details. We may request additional verification at any time (risk-based). Refusal or failure to complete verification may result in payout delays or account restriction.

4. Content Ownership, Licensing, and Intellectual Property

You may only list content that you:

• authored and own; or
• have valid written permission/licensing to sell and distribute.

You agree that you will not upload or sell pirated, copied, scraped, or unauthorised content. We may request proof of rights at any time (e.g., licensing letters, publishing agreements, ISBN records, author authorisation). If you cannot provide sufficient proof, we may remove listings and take enforcement action.

5. Listings, Quality, and Accuracy

You must ensure each product listing is accurate and not misleading, including:

• title, author attribution, description, and file format(s)
• what the customer receives and any access limitations
• compatibility requirements (where relevant)

You are responsible for the quality, legality, and accuracy of your listings.

6. Platform Fee and Commission

For each completed sale made through the Platform, we charge a 30% commission on the sale amount (“Platform Fee”).

Unless we state otherwise, the Platform Fee is deducted automatically before vendor payout.

7. Payouts, Schedule, and Minimum Threshold

1. Payout method: Vendors are paid electronically only to the bank account provided and verified on the Platform.
2. Payout schedule: Payouts are processed monthly.
3. Minimum payout threshold: Payouts are made only if your payable balance reaches R200 (two hundred rand) or more at the monthly payout date.
4. Balances below R200: If your payable balance is below R200, it will roll over to the next month until the threshold is met.

We may adjust payout timing if necessary for compliance checks, dispute resolution, fraud prevention, technical issues, or legal obligations.

8. Refunds, Disputes, and Chargebacks

Because products are digital, refund decisions follow our Returns & Refunds Policy and Dispute Resolution Policy.

You agree that:

• We may handle customer disputes and refund decisions according to our policies.
• We may require your cooperation and a response within a reasonable timeframe (typically 48–72 hours).
• We may hold, delay, or offset payouts related to disputed transactions, refunds, chargebacks, or suspected policy violations.
• Where a refund or chargeback occurs, the amount may be deducted from your vendor balance and/or future payouts.

9. Prohibited Conduct

You must not:

• attempt to sell content you do not have rights to
• misrepresent authorship, publisher status, or licensing
• manipulate reviews, ratings, or sales
• move transactions off-platform to avoid fees or oversight
• upload malware, harmful code, or deceptive files
• engage in fraud, money laundering, or unlawful activity

10. Takedowns and Enforcement

We may remove listings, restrict visibility, suspend accounts, terminate accounts, and/or freeze payouts where we reasonably suspect:

• intellectual property infringement,
• fraud or suspicious activity,
• repeated complaints or chargebacks,
• violations of our policies or this agreement.

We also operate a notice-and-takedown process under our Copyright & Intellectual Property Policy.

11. Taxes and Vendor Responsibilities

You are responsible for:

• determining and complying with any tax obligations applicable to your sales and payouts
• maintaining your own accounting records
• ensuring your business complies with applicable laws and regulations

We are not responsible for your tax filings or statutory obligations.

12. Data Protection

We process personal information in accordance with applicable data protection laws (including POPIA where relevant). We may share necessary information with payment processors and service providers for verification, fraud prevention, and payout processing.

13. Limitation of Liability

To the maximum extent allowed by law, we are not liable for indirect or consequential losses, including lost profits or reputational loss. Our role is to provide a marketplace platform; vendors are responsible for their content and compliance.

14. Termination

You may request closure of your vendor account. We may terminate or suspend your account as needed for compliance, risk, or policy reasons. Any pending payouts remain subject to:

• verification completion,
• dispute/chargeback resolution,
• legal and compliance requirements.

15. Changes to This Agreement

We may update these terms from time to time. Continued use of the Platform after updates means you accept the updated terms.
